Giancarlo A. Messina, founder of Messina Madrid Law PA has for, close to 15 years, focused his practice on domestic and international matters including corporate structuring, securities compliance and tax planning for multinational companies, funds, and entrepreneurial families.
Giancarlo is a highly experienced tax attorney with extensive expertise in handling the tax, structuring and succession planning needs of high net-worth families and family offices related to domestic and cross-border matters. This includes pre-immigration tax planning, complex trust structuring and administration, cross- border estate planning, tax structuring for real estate funds with foreign investors, and other tax structuring for investment into the U.S., and the acquisition, and sale of U.S. real estate by foreigners.
Giancarlo has represented both public and private companies across the globe, from China, Japan, and Hong Kong to Europe and South and North America, focusing on the complex legal and tax issues pertaining to corporate structuring, securities offerings, start-ups and Mergers and Acquisitions transactions. Clients he has represented include multinational corporations and microcap companies in transactions ranging from start-up financing to mergers and acquisitions valued from tens of millions to a billion dollars. He has also represented issuers in their listings on NASDAQ, NYSE MKT and OTC through IPO, ICO, reverse merger, or merger with SPACs, in their public and private offerings of debt and equity securities, commercial transactions and compliance with the federal securities and tax laws.
He has assisted companies with a number of international tax issues, including intellectual property migrations, Subpart F, GILTI, and FDII planning, foreign tax credit planning, FIRPTA, treaty planning, tax-efficient cash repatriation strategies and post-acquisition integration and implementation. Giancarlo also has experience in advising companies on complex cross-border tax matters involving technology, digital goods and services.
Prior to focusing full time on Managing and Operating Messina Madrid Law PA Giancarlo was head of the tax group for a prominent boutique securities firm in New York specializing in securities litigation, IPOs and Corporate Reorgs with a special focus on Chinese Clients. Giancarlo consistently works with and co-counsels with AM Law 100 law firms and other high end boutique securities and transactional firms. Prior to focusing on tax law, Giancarlo worked on major multi-state/multi-district litigation in a suit against the makers of Avandia and prior to that he worked with one of the top securities plaintiffs law firms based in New York representing states and pension funds in securities litigation.
Giancarlo is also the founder and CEO of Messina Madrid Global Corp, a legal tech company, and a significant shareholder in Legixco Inc, a corporation and affiliate of Cadre (it’s Indian counterpart managing disputes for the Bombay Stock Exchange and othr significant clients) creating platforms and management for alternative dispute resolution handling both private and public government contracts and disputes.
He has served as a director of a Florida based non-profit since 2022 (Giving Better Odds Corp), having raised hundreds of thousands of dollars to support underprivileged children around the globe as well as with initiatives aimed at housing, feeding for children and students in need as well as with initiatives related to education, healthcare and the arts.
